These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and QBiz Technology Inc. ("QBiz," "QBiz Technology," "Company," "we," "our," or "us") governing your access to and use of: https://www.qbiztech.ai and all related applications, software, APIs, dashboards, AI systems, integrations, products, and services (collectively, the "Services"). By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must: be at least 18 years old, have the legal authority to enter into binding agreements, and use the Services only in compliance with applicable laws.

If you access the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Description of Services

QBiz provides AI-powered business intelligence, analytics, workflow, operational insight, and financial technology tools designed to assist users in analyzing and managing business operations and financial information.

Services may include: AI-generated insights, business analytics, workflow automation, reporting tools, forecasting tools, dashboard functionality, integrations with third-party financial platforms, and related technology services.

Certain features may be modified, suspended, or discontinued at any time.

3. Important Financial & AI Disclaimer

QBiz Technology Inc. is a technology company and not: a bank, Registered Investment Advisor ("RIA"), broker-dealer, CPA firm, accounting firm, law firm, tax advisor, lender, fiduciary, or financial institution.

The Services and all AI-generated outputs are provided for informational and operational purposes only and do not constitute: financial advice, investment advice, accounting advice, tax advice, legal advice, lending advice, or fiduciary recommendations.

AI-generated content may: contain inaccuracies, be incomplete, contain hallucinations, rely on incomplete datasets, contain outdated information, or produce incorrect forecasts or calculations.

You remain solely responsible for independently reviewing and verifying all information before making business, financial, legal, tax, operational, or investment decisions.

QBiz does not guarantee: profitability, business success, financing approval, tax savings, operational improvements, or future financial outcomes.

4. Account Registration

To access certain Services, you may be required to create an account. You agree to: provide accurate information, maintain current account information, protect account credentials, and accept responsibility for all activity occurring under your account.

You are responsible for maintaining the confidentiality of your login credentials.

QBiz reserves the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

5. Third-Party Integrations

The Services may integrate with third-party providers including: Plaid, Stripe, QuickBooks, Shopify, banks, payment processors, accounting platforms, AI providers, and other third-party systems.

By connecting third-party accounts, you authorize QBiz to access and process information from those services.

QBiz does not control and is not responsible for: third-party services, API outages, synchronization failures, data inaccuracies, delays, security practices, or interruptions caused by third-party providers.

Your use of third-party services is subject to their respective terms and privacy policies.

6. AI & Automated Processing

QBiz may use artificial intelligence systems, machine learning technologies, and automated tools to: process prompts, analyze operational and financial information, generate recommendations, summarize information, automate workflows, and provide business insights.

AI-generated outputs are inherently probabilistic and may be inaccurate, incomplete, misleading, or unsuitable for your intended purpose.

You acknowledge and agree that: AI outputs are informational only, human review is required, and you assume all responsibility for reliance on AI-generated content.

7. Acceptable Use

You agree not to use the Services to: violate laws or regulations, engage in fraud, facilitate money laundering, engage in tax evasion, infringe intellectual property rights, upload malicious code, attempt unauthorized access, interfere with system operations, reverse engineer the Services, abuse APIs, scrape data without authorization, or use the Services for unlawful or harmful activities.

You may not use the Services: to develop competing systems, to train competing AI models, or to exploit platform vulnerabilities.

8. Subscription, Billing & Payments

Certain Services may require paid subscriptions.

You agree to: pay all applicable fees, provide valid payment information, and authorize recurring charges where applicable.

Unless otherwise stated: subscriptions automatically renew, fees are non-refundable, and pricing may change upon notice.

Failure to pay fees may result in suspension or termination of access.

9. Intellectual Property

QBiz retains all rights, title, and interest in: the Services, software, algorithms, AI systems, workflows, APIs, designs, trademarks, branding, analytics methodologies, and proprietary technology.

Subject to these Terms, QBiz grants you a limited, non-exclusive, non-transferable, revocable license to use the Services.

You retain ownership of content and data you upload to the Services.

However, you grant QBiz a limited license to: host, process, transmit, analyze, and use uploaded content solely to provide and improve the Services.

10. Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Services, you grant QBiz a perpetual, irrevocable, royalty-free right to use and incorporate such feedback without restriction or compensation.

11. Privacy

Your use of the Services is subject to the QBiz Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

By using the Services, you consent to the collection, processing, and use of information as described in those policies.

12. Security

QBiz implements commercially reasonable security measures designed to protect information and platform integrity.

However, you acknowledge that: no system is completely secure, internet transmissions may be vulnerable, and QBiz cannot guarantee absolute security.

You are responsible for maintaining reasonable security practices regarding your account and credentials.

13. Beta Features

Certain features may be designated as: beta, experimental, preview, or early-access functionality.

Such features may: contain bugs, experience interruptions, be modified, or be discontinued without notice.

Beta features are provided "as is" without warranties of any kind.

14. Availability

QBiz does not guarantee uninterrupted or error-free operation of the Services. The Services may experience: outages, maintenance interruptions, delays, third-party failures, AI processing interruptions, cybersecurity incidents, or technical errors. QBiz may suspend or restrict access at any time.

15. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

QBIZ DISCLAIMS ALL WARRANTIES INCLUDING: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND AVAILABILITY.

QBIZ DOES NOT WARRANT THAT: THE SERVICES WILL BE ERROR-FREE, AI OUTPUTS WILL BE ACCURATE, FORECASTS WILL BE RELIABLE, OR RESULTS WILL MEET EXPECTATIONS.

16. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QBIZ SHALL NOT BE LIABLE FOR: INDIRECT DAMAGES, INCIDENTAL DAMAGES, CONSEQUENTIAL DAMAGES, SPECIAL DAMAGES, PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR FINANCIAL LOSSES

ARISING FROM OR RELATED TO: USE OF THE SERVICES, AI OUTPUTS, THIRD-PARTY INTEGRATIONS, BUSINESS DECISIONS, OR RELIANCE ON GENERATED INSIGHTS.

QBIZ'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: THE AMOUNT PAID BY YOU TO QBIZ DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100).

17. Indemnification

You agree to defend, indemnify, and hold harmless QBiz and its officers, employees, affiliates, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from: your use of the Services, violation of these Terms, violation of applicable law, infringement claims, or misuse of AI-generated outputs.

18. Arbitration Agreement & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered in Los Angeles County, California.

You agree: to waive any right to a jury trial, and to waive participation in class actions, collective actions, or representative proceedings.

Arbitration shall be conducted individually.

Nothing in this section prevents QBiz from seeking injunctive or equitable relief for intellectual property misuse or unauthorized access.

19. Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.

20. Export Compliance

You may not use the Services in violation of: U.S. export laws, sanctions regulations, or international trade restrictions.

You represent that you are not located in or associated with prohibited jurisdictions or sanctioned parties.

21. Termination

QBiz may suspend or terminate access to the Services at any time, with or without notice, for: violations of these Terms, security concerns, fraud prevention, operational reasons, or legal compliance.

Upon termination: your access rights immediately cease, and certain provisions of these Terms shall survive termination.

22. Modifications to Services or Terms

QBiz may modify: the Services, pricing, features, or these Terms at any time.

Updated Terms become effective upon posting.

Continued use of the Services after updates constitutes acceptance of revised Terms.

23. Force Majeure

QBiz shall not be liable for delays or failures caused by events beyond reasonable control, including: cyberattacks, infrastructure failures, internet outages, labor disputes, natural disasters, governmental actions, or third-party service failures.

24. Entire Agreement

These Terms, together with: the Privacy Policy, Cookie Policy, and any applicable supplemental agreements,

constitute the entire agreement between you and QBiz regarding the Services.
